Sales Pep Terms of Service
Version 15 October 2026
1. Provider, customer and agreement
Sales Pep is a service provided by TRDL, CVR 43474766, Hyllingeparken 15A, 4070 Kirke Hyllinge, Denmark ("TRDL", "we"). Contact: [email protected]. Sales Pep is the product and service name used by TRDL.
These Terms govern the legal entity, or individual acting as a sole trader, identified as the contracting business in the acceptance record ("Customer") and its authorised use of Sales Pep for meeting preparation, transcription, coaching and review. A sole trader may contract for their own business. The accepting person confirms authority to bind the Customer. The agreement takes effect through explicit acceptance or a separately agreed written customer agreement. The acceptance record identifies the Customer, representative, time and exact document versions. Acceptance of these Terms and the incorporated DPA is not participant consent to audio capture. Employees and other authorised users acting for that Customer do not become separate contracting Customers merely because they have their own accounts. Acting as an authorised representative does not itself make that person a guarantor of the Customer's contractual liabilities.
These Terms apply to free and paid use. Moving to an agreed paid plan does not by itself require another acceptance of unchanged Terms. A separately agreed order or customer agreement takes precedence within its subject; the DPA governs processing on the Customer's behalf and applicable mandatory transfer clauses prevail.
2. Accounts, access and charges
Provide accurate account and contracting information and tell us about material changes. Protect sign-in codes, credentials and private access invitations; notify us promptly of suspected unauthorised use. Accounts and synced history belong to the signed-in user. A matching business name, email domain or editable company profile does not create team membership or share meetings. The authority declaration does not verify legal identity or give another user inherited access.
The Customer receives a limited, non-exclusive, non-transferable right to use the agreed Service for its business, subject to these Terms and any applicable fees. Live functionality requires a supported desktop app, internet connection and the applicable service access. Do not distribute private access credentials with the app or a public link.
Fees, billing period, renewal and cancellation conditions apply only as expressly agreed in an order, purchase confirmation or separate written arrangement. Acceptance alone creates no payment, automatic renewal or paid subscription. Free use does not silently convert to paid use. TRDL's software, interface, branding, templates and general know-how remain TRDL's or its licensors' property; no resale or sublicensing right is granted.
3. Lawful use and participant information
Use the Service only for lawful, authorised purposes. Do not bypass access controls, access other users' information, interfere with security or availability, impersonate or deceive people, or submit content without the necessary rights. Reverse engineering and automated access are prohibited except where mandatory law permits them or TRDL agrees in writing.
The Customer determines the purposes and lawful basis for its meeting processing, informs affected people and obtains any permissions or consent required in the circumstances before capture. Do not intentionally submit special-category or criminal-offence data, national identification numbers, passwords or financial credentials without a separate assessment and written agreement. Contact TRDL if such data is included accidentally so appropriate removal can be arranged.
Microphone and computer audio are separate sources; computer audio can include other apps and notifications. Listening begins through an explicit user action. Pause listening or End stops capture; pausing coaching keeps audio and transcription running. Check devices and source settings and keep unrelated audio out of the meeting stream. Sales Pep does not guarantee exclusion from screen sharing.
4. AI output and human judgment
Transcripts, suggestions and recaps are generated by probabilistic systems and may be incomplete or wrong. Check output before relying on or sharing it, particularly claims about people, prices, capabilities or commitments. The Service does not provide regulated legal, medical, financial or other professional advice and does not make promises, contracts or decisions on the Customer's behalf. Do not use output as the sole basis for decisions producing legal or similarly significant effects on people.
5. Customer content and confidentiality
The Customer retains its existing rights in submitted content. It grants TRDL only the rights needed to host, copy, process and display that content to deliver, secure and support the agreed Service under the DPA and instructions. The Customer confirms it has the rights and permissions needed to supply it. Output may be used for the Customer's lawful business purposes, subject to third-party rights; it may not be unique or eligible for exclusive intellectual-property protection. This does not transfer the underlying software or methods.
Each party protects the other's non-public business information with reasonable care and uses it only to perform the agreement. Disclosure is limited to people and providers who need access and are bound by appropriate confidentiality duties. Information lawfully public, already known without restriction, independently developed or lawfully obtained from another source is excluded. Legally required disclosure is limited and notified in advance where permitted. These duties continue for five years after termination and, for trade secrets, for as long as they remain trade secrets. TRDL does not reuse confidential Customer content for another customer without permission.
6. Personal data, retention and copies
The incorporated Data Processing Agreement governs personal data processed on the Customer's behalf. The Privacy Notice explains TRDL's own account, contracting, security and support processing. TRDL does not use Customer-controlled meeting content for advertising or authorise its use to train providers' general-purpose models.
Managed saved meeting transcripts, notes and summaries expire 365 days after the original meeting date. Reading, editing or importing does not renew that date. Daily bounded server cleanup removes eligible account content; backlogs, locks, failed or missed runs can delay physical deletion. A limited deletion marker prevents stale managed content returning. Earlier meeting deletion completes in the account when sync succeeds.
Closed/offline devices may retain copies until trusted sync. Independent local originals, exports and copied notes remain under their holder's control. Provider operational records and protected backup copies have separate lifecycles described in the Privacy Notice and DPA. Expiry or a delete click is not an instant global wipe. Signing out does not delete an account.
7. Service standard, changes and support
TRDL provides the Service with reasonable skill and care and in material accordance with its agreed description. We do not guarantee uninterrupted or error-free operation, complete transcription, a commercial result, EU-only processing or zero provider retention. Maintenance, third-party outages and security events may affect availability. No fixed uptime, recovery point/time, service credit or support-response commitment applies unless expressly agreed in writing.
We may maintain and develop the Service. For a change materially reducing agreed paid core functionality, we give reasonable notice where practicable and the remedies below remain available. Contact [email protected] for support. Do not send credentials, invitations, sign-in codes or unnecessary meeting content as routine diagnostics.
8. Suspension, termination and data exit
The Customer may stop using the Service at any time, subject to separately agreed payment and cancellation terms. Either party may terminate an affected service for material breach left unremedied 30 days after written notice, where remedy is possible. TRDL may urgently suspend only what is reasonably necessary for security, unlawful use or legal requirements, with notice where practicable, and restores access when the reason is resolved. Lawful saved-work, export and deletion recovery remain available where practicable; suspension is not instant revocation of already issued credentials.
If the Customer terminates for TRDL's unremedied material breach, or TRDL discontinues agreed paid core service without the Customer's breach, TRDL refunds prepaid fees for the unused affected period, subject to mandatory rights.
The Customer may request export of still-available content during use and for 30 days after termination through [email protected]. Request export before termination where possible. This does not extend the 365-day expiry, reverse an earlier deletion instruction, restore deleted content or guarantee post-deletion login. At the end of processing, the Customer chooses return or deletion under the DPA. Standard available export and legally required assistance carry no separate fee; bespoke migration work requires prior scope and price agreement. Mandatory switching rights remain unaffected.
Account closure is handled through a verified request, with return/deletion scope and residual copies explained. Necessary agreement, declared business identity and closure evidence is retained during the relationship and for three years after verified closure for contractual accountability and claims, subject to a specific documented legal hold or applicable legal duty. It is separate from meeting content. Copies remain requestable from TRDL with proportionate identity checks; no automatic login-recovery window is promised. Confidentiality, accrued payment, intellectual-property, liability and necessary data-handling duties survive termination.
9. Business liability
Neither party is liable to the other for indirect or consequential business losses, including lost profit, revenue or opportunity, subject to the exceptions below.
Subject to those exceptions, each party's aggregate contractual liability to the other for claims arising from events in any rolling 12-month period is limited to the fees paid or payable by the Customer for Sales Pep in that period across all its orders and user accounts (the "Fee Base"). Each fee is counted once. This is the general cap.
For breaches of confidentiality, intellectual-property rights or data-protection obligations ("Special Claims"), the aggregate cap is twice the same Fee Base. Other claims together remain subject to the general cap. Where Special Claims apply, all covered claims together cannot exceed twice the Fee Base: the general and special caps are not added together. The same claim or loss cannot be recovered more than once, including under both these Terms and the DPA.
For each party, these are single aggregate caps for the contracting Customer across all its employees, other authorised users, accounts, seats, orders and acceptance records governed by these Terms and the incorporated DPA. They are not separate caps per person, account, seat, order, acceptance or claim. Repeated acceptance or additional accounts for the same Customer do not reset or multiply the caps. Separate legal persons are not combined into one Customer merely because they share a name, email domain or corporate group.
If the Fee Base is zero, both monetary caps are zero to the extent that limitation is lawful. This does not remove the parties' duties to perform the agreement, maintain confidentiality and appropriate data protection, or return/delete data, or restrict the exceptions and mandatory rights below.
These exclusions and caps do not apply to intent, gross negligence, personal injury or liability that cannot lawfully be limited. Payment obligations, mandatory rights and compensation of data subjects, supervisory powers and applicable transfer clauses are unaffected. No separate indemnity is imposed. A separately agreed customer contract controls where it expressly provides otherwise.
10. Changes, law and contact
Material contractual changes are presented for express agreement, including electronic acceptance; continued use alone does not create a new recorded acceptance. Security improvements and subprocessor notices follow the DPA. Previously accepted versions and evidence remain available under the retention schedule. Correcting an editable coaching profile does not amend the contracting identity; contact TRDL for a contracting-record correction.
Danish law governs, subject to mandatory rules. The competent Danish courts hear disputes unless the parties lawfully agree otherwise; first contact [email protected] to seek a practical resolution. Nothing excludes rights that cannot lawfully be excluded.
